1. Acceptance of Terms

By accessing or using Batan ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and subscribers of Batan. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will notify you of material changes by email at least 14 days before they take effect.

2. Description of Service

Batan is an AI-powered supplier intelligence platform that monitors supplier prices across multiple eCommerce platforms, compares pricing data automatically, and delivers alerts when better deals or price changes are detected. The Service is designed for dropshippers, eCommerce sellers, and online retail businesses.

Batan provides informational and analytical data to assist your business decisions. We do not guarantee specific savings, outcomes, or business results. The accuracy of supplier data depends on the availability and reliability of third-party data sources, which may change without notice.

3. Accounts and Registration

To access certain features of Batan, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately at [email protected] if you suspect unauthorized access to your account. Batan will not be liable for any loss or damage arising from your failure to protect your account credentials.

You may not create an account on behalf of another person without their authorization, or use Batan for any unlawful purpose.

4. Subscriptions and Payments

Batan offers paid subscription plans billed on a monthly or annual basis. By subscribing, you authorize Lemon Squeezy, our Merchant of Record, to charge your payment method on a recurring basis at the applicable subscription rate.

All payments are processed by Lemon Squeezy. Lemon Squeezy handles all sales tax collection and remittance on our behalf. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Prices are listed in US dollars and are subject to change. We will provide at least 30 days notice before any price increase takes effect for existing subscribers.

5. Refund Policy

We offer a 7-day money-back guarantee on all new subscriptions. If you are not satisfied with Batan within the first 7 days of your initial subscription, contact us at [email protected] and we will issue a full refund, no questions asked.

After the 7-day period, subscription fees are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period. We do not provide prorated refunds for partial billing periods.

Annual subscriptions that are cancelled after the 7-day refund window are not eligible for refunds for the remaining months of the annual term.

6. Acceptable Use

You agree to use Batan only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to scrape, harvest, or collect data in a manner that violates the terms of any third-party platform; attempt to reverse engineer, decompile, or extract the source code of Batan; use automated tools, bots, or scripts to access the Service in a manner that places unreasonable load on our infrastructure; share your account credentials with others or allow multiple users to access a single-user account; use the Service to engage in any activity that is fraudulent, deceptive, or harmful to others; or attempt to gain unauthorized access to any part of the Service or its related systems.

Violation of these terms may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

Batan and all of its content, features, and functionality — including but not limited to the software, algorithms, design, text, graphics, logos, and data compilations — are owned by Batan and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our prior written consent.

You retain ownership of any data you provide to Batan. By using the Service, you grant Batan a limited license to use your data solely to provide and improve the Service.

8. Third-Party Services

Batan integrates with and relies on third-party services including AliExpress, CJ Dropshipping, Shopify, WooCommerce, and other supplier platforms to provide pricing data. We are not affiliated with, endorsed by, or responsible for the accuracy, availability, or terms of these third-party platforms.

Supplier pricing data is provided for informational purposes only. Prices, availability, and supplier terms may change at any time without notice. Batan is not responsible for any business decisions made based on data provided by the Service.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BATAN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BATAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF BATAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BATAN'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO BATAN IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

You may cancel your subscription and close your account at any time by contacting us at [email protected] or through your account settings. Upon cancellation, your access to the Service will continue until the end of your current billing period.

Batan reserves the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Service will immediately cease.

Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to resolve any disputes with Batan on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
